Terms of Service

These Terms of Service ("Terms") govern your access to and use of the products and services provided by Agentic Labs LLC ("Agentic Labs," "we," "us," or "our"), including the Marketplace mobile application, canvassing platform, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements. If you are using the Service on behalf of a business, you represent that you have the authority to bind that entity to these Terms.
2. Account Registration
- You must provide accurate, current, and complete information during registration.
- You are responsible for maintaining the security of your account credentials.
- You must notify us immediately of any unauthorized access to your account.
- You may not transfer your account or share your credentials with third parties.
- We reserve the right to suspend or terminate accounts that violate these Terms.
3. Service Description
Agentic Labs provides a technology platform that enables:
- Service Marketplace: A platform connecting consumers with local service providers (plumbers, electricians, solar installers, contractors, and other professionals).
- Canvassing Platform: Field operations tools for door-to-door sales and service teams, including territory management, knock tracking, and lead routing.
- Business Tools: CRM, booking management, payment processing, and team coordination for service businesses.
- Credit System: An in-platform currency for purchasing data access, outreach credits, and premium features.
4. Service Provider Terms
If you register as a service provider:
- You are an independent contractor, not an employee, agent, or partner of Agentic Labs.
- You are responsible for the quality, legality, and safety of the services you provide.
- You must maintain all required licenses, permits, and insurance for your trade.
- You must accurately represent your qualifications, experience, and service capabilities.
- You agree to respond to customer inquiries and bookings in a timely manner.
- Agentic Labs does not guarantee any volume of business, leads, or revenue.
5. Customer Terms
If you use the Service as a customer:
- You acknowledge that Agentic Labs is a platform provider, not a service provider. We connect you with independent professionals but do not perform services ourselves.
- You are responsible for evaluating the qualifications and suitability of service providers.
- You agree to pay for services as agreed with the provider, including any platform fees.
- Reviews and ratings must be honest, accurate, and based on actual service experiences.
6. Payments
- Payment processing is handled by Stripe, Inc. By using payment features, you also agree to Stripe's Terms of Service.
- Platform credits are non-transferable outside the platform and have no cash value except as provided in our Refund Policy.
- Service fees and platform commissions are disclosed at the time of transaction.
- You are responsible for any taxes applicable to payments you receive through the platform.
- Agentic Labs may hold, delay, or reverse payments in cases of suspected fraud or policy violations.
7. Subscription Plans
The Service offers tiered subscription plans with varying feature access. Subscription terms:
- Subscriptions are billed on a recurring basis (monthly or annually) as selected at purchase.
- You may upgrade, downgrade, or cancel your subscription at any time.
- Downgrades take effect at the end of the current billing period.
- Cancellations stop future charges but do not provide retroactive refunds for the current period.
- We reserve the right to modify pricing with 30 days' notice.
8. Canvassing and Field Operations
- You must comply with all applicable local, state, and federal laws regarding door-to-door solicitation, including "Do Not Knock" and "No Solicitation" regulations.
- You must respect private property and leave immediately when asked.
- Canvassing activity data you log belongs to you. However, submitted leads may be shared with the associated business per your workspace agreements.
- You are solely responsible for your conduct during field operations.
9. Intellectual Property
- The Service, including its design, code, algorithms, data structures, and documentation, is owned by Agentic Labs and protected by intellectual property laws.
- You retain ownership of content you create (reviews, messages, business profiles). By posting content, you grant us a license to display it within the Service.
- You may not copy, modify, reverse engineer, or create derivative works of the Service.
- The Agentic Labs name, logo, and product names are trademarks of Agentic Labs LLC.
10. Prohibited Conduct
You agree not to:
- Use the Service for any illegal or unauthorized purpose
- Harass, threaten, or discriminate against other users
- Post false, misleading, or fraudulent content
- Attempt to circumvent platform fees or payment processing
- Scrape, crawl, or automatically extract data from the Service
- Interfere with or disrupt the Service's infrastructure
- Impersonate another person or entity
- Use the platform to send unsolicited communications (spam)
- Violate any applicable law or regulation
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AGENTIC LABS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY SERVICE PROVIDED BY THIRD-PARTY PROVIDERS ON THE PLATFORM.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTIC LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO AGENTIC LABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless Agentic Labs, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
14. Dispute Resolution
Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in Bexar County, Texas, in accordance with the rules of the American Arbitration Association. You agree to waive your right to participate in class action lawsuits or class-wide arbitration.
15. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
16. Modifications
We may modify these Terms at any time. Material changes will be communicated through the app or via email at least 30 days before they take effect. Continued use of the Service after changes constitute acceptance.
17. Termination
We may suspend or terminate your account at any time for violations of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Dispute Resolution) will survive.
